High School Agreement

WHEREAS, Campus developed Learn (the “Campus Learning Platform”), which is a Learning Management System (LMS) that presents course content mostly in a video and imagery-driven format and facilitates course sharing;


WHEREAS, you as a high school or organization facilitating high school course work (the “Organization”) wish to provide students with courses on the Campus Learning Platform;


In consideration of the mutual covenants and agreements hereinafter set forth, Campus and the Organization commit to the following: 


1. COURSES AND FEES


1.1 Campus agrees to furnish for the Organization college-level courses, inclusive of course material, professor, and learning platform. Course price may vary based on the partner institution and course offered (see Appendix 1).


1.2 Each course offered shall provide valid credits from a regionally accredited institution.


2. BRAND PUBLICIZATION


2.1 Both parties agree to the right to mutual brand publicity. Campus grants the Organization the right to publicize its brand within its marketing. Similarly, the Organization grants Campus the right to publicize its brand.


3. COURSE SUPPORT


3.1 Campus will provide course support to ensure effective delivery of the courses, including the learning platform and ongoing technical assistance as appropriate.


4. PAYMENT TERMS


4.1 The Organization agrees to make payments for each course upon receipt of an invoice from the Provider. Payments should be made no later than 14 days from the date of the invoice. Alternatively, Campus can bill students directly.


5. TERM AND TERMINATION


5.1 This Agreement shall commence upon the Effective Date and continue until terminated by either party with a written notice of 180 days in advance. 


6.GOVERNING LAW


6.1 This Agreement shall be governed by and interpreted in accordance with the laws of the state of the Organization.
